SOUTH JERSEY DIVING ASSOCIATION
BY-LAWS
Adopted April 24, 1994
Amended April 29, 2003
ARTICLE I
Objectives, Territory, Jurisdiction
01.1 OBJECTIVES:The objectives shall be to:
a) promote and develop competitive diving for the benefit of divers of all ages and abilities;
b) provide an adequate forum for competition commensurate with the abilities of all athletes and in accordance with the standards and under the rules prescribed by United States Diving, Inc. (USD), and the South Jersey Diving Association (SJDA);
01.2 TERRITORY: The territory of the SJDA shall be the same as the local diving association as defined in the US Diving Code of Regulations. This includes the State of New Jersey.
01.3 JURISDICTION: The SJDA shall have jurisdiction over the sport of diving as
defined by US Diving and the local diving association.
ARTICLE II Membership and Voting Rights
02.1 TYPES:The membership shall consist of the following:
a) CLUB MEMBERS: Those diving clubs which have joined SJDA, have paid all dues and fees associated with said membership and participate (at least 40% of divers compete) in SJDA activities are members in good standing of the SJDA. Each club shall appoint a bond-holding, dues paying representative and an alternate representative of the same qualifications to the SJDA by February 1st of each year. The appointing club may withdraw its representatives by written notice, addressed to the Registration Chairperson and signed by its chief executive officer or secretary, and substitute a new representative. Each club representative may attend all meetings of the SJDA with voice to vote.
b) VOTING: Each member club may cast one representative vote on any matter addressed by SJDA. Voting for elections will be held by ballot. All other voting will be done by roll call or show of hands.
02.2 RESPONSIBILITIES:
a) INCOME: Any income derived from the promotion of diving by SJDA must be used for further promotion of diving or for the general welfare for the SJDA as a whole or as approved by the vote of the SJDA as a whole.
b) INFRACTIONS: A club/group member/coach or athlete who is competing as a representative of an organization may be held responsible for any infraction of rules and regulations stipulated in the current US Diving Rules and the SJDA Code of Conduct. These infractions shall be reviewed by the Law and Legislation Committee empowered to make recommendations for appropriate action to the SJDA general membership.
ARTICLE III Management
03.1 GENERAL MEMBERSHIP SJDA : The general membership of SJDA will be comprised
of the member club representatives, officers and alternates.
03.2 DUTIES AND POWERS:
a) General members shall have the power and it shall be their duty to:
(1) Elect officers of the SJDA
(2) Vote on By-Laws and Amendments of the SJDA
(3) Approve minutes of the last general meeting.
(4) Review and adopt the annual budget of the SJDA
(5) Vote on all general business at designated general meetings
(6) Approve expenditures.
ARTICLE IV Officers
04.1 TITLES: President, Vice President, Treasurer, Secretary
04.2 TERM OF OFFICE: Officers of the SJDA will be elected to office by a majority vote of
the general membership that is present at the meeting held for that purpose. Each officer serves for a term of two years and can be re-elected. Terms of office will begin March 1st of each year.
04.3 DUTIES: The duties of the officers are as hereafter set forth.
a) PRESIDENT: The President calls meetings when and where deemed necessary, presides at all meetings and appoints committee chairpersons.
b) VICE PRESIDENT: The Vice President shall assist the President in any way possible.
c) TREASURER: The Treasurer receives all moneys, pays all bills, and reimburses such expenditures as are approved by the SJDA. The Treasurer is responsible for maintaining all financial records, and to present at least annually, a financial report to the officers and general membership.
d) SECRETARY: The secretary shall keep a record of all meetings, take the minutes of all meetings, distribute such minutes to SJDA for approval at their next general meeting. The Secretary shall distribute such minutes as directed by the President. The Secretary shall be reimbursed for any and all expenses incurred in said mailings.
04.4 VOTING: Officers that are not a club representative have the right to vote on all issues that are voted on at all membership meetings.
ARTICLE V Meetings
05.1 GENERAL MEETINGS: At least three general membership meetings of SJDA will be
held each year. The fall meeting shall be held no later than October 1 of each year and the spring meeting shall be held no later than April 1st.
05.2 SPECIAL MEETINGS: One Executive Committee meeting shall be held each year
prior to the spring general meeting, to plan an agenda for the general meeting and a calendar of meets for the summer season.
05.3 NOTICES:
a) TIME: Not less than thirty (30) days notice shall be given for SJDA general meetings and not less than ten (10) days notice shall be given for SJDA Executive Committee meetings or special meetings.
b) INFORMATION: The notice of a meeting shall contain the time, date and site. For special meetings, the purpose of such meetings shall be given.
c) ADDRESS: The notice shall be sent to the address given to the Secretary for each club representative to SJDA or the individual will be contacted by phone.
05.4 ORDER OF BUSINESS: At all general meetings of the SJDA the following is the order
of business:
a)Roll Call
b) Reading, correction and adoption of previous meeting
minutes
c) Reports of Officers
d) Reports of Committees
e) Unfinished business
f) Elections when appropriate
g) New business
h) Resolutions and Orders
i) Adjournment
05.5 QUORUM:A quorum at all meetings shall consist of those present and eligible to vote.
05.6 RULES OF ORDER: At all meetings the current Roberts Rules of order are the
procedural rules.
ARTICLE VI Sections and Committees
06.1 STANDING COMMITTEES:
a) THE LAW AND LEGISLATION COMMITTEE, consisting of the officers of the organization, shall:
(1) annually review the By-Laws of the SJDA;
(2) if necessary, recommend amendments and/or deletions of the current By-Laws for approval by vote by the General membership; and
(3) review infractions of club or group members (see 02.2 b)
empowered to make recommendations for appropriate action to the SJDA general membership.
b) THE PUBLICITY COMMITTEE shall promote diving by submitting
articles and / or results to national, state and local media ( TV, radio, newspapers and magazines).
c) THE AWARDS COMMITTEE shall be responsible for planning,
procuring and distributing the awards for all SJDA sanctioned meets.
d) THE REGISTRATION COMMITTEE shall consist of a chairperson
and one (1) representative from each of the three (3) divisions: North, Central & South. This committee shall facilitate the annual registration of member clubs.
06.2 APPOINTMENT:
a) APPOINTMENT: Chairpersons of sections or standing committees are
appointed as provided by these By-Laws.
b) TERM OF OFFICE: Each chairperson and committee shall be
appointed for a period of two (2) years.
c) DUTIES:
(1) Presides at all meetings of the section or committee.
(2) Sees that all duties and responsibilities of his/her charge are
properly and promptly carried out.
(3) Communicates with the committee members to keep them fully
informed.
(4) Keeps the general membership informed at the general meetings.
ARTICLE VII Championships
07.1 GENERAL:The SJDA will conduct such Association championships as it deems
necessary or desirable. Such association championships shall be conducted in accordance with the rules of USD for conduct of such championships.
ARTICLE VIII Dues and Fees
08.1 CLUB: Every active club member joins the SJDA by submitting an annual
registration form and fee to the Registration chairperson.
08.2 ATHLETE REGISTRATION: Each athlete member pays to the Registration
chairperson an annual fee established by SJDA.
08.3 FAILURE TO PAY: The failure of a member club to pay dues or fees prevents
participation in competition, representations and vote by member club and athletes.
08.4 MEETINGS: It is expected that all clubs will be represented at every meeting of the association. Any club missing more than two consecutive meetings will be assessed a fine of $25.00 which will be paid prior to any further participation in the association.
ARTICLE IX Miscellaneous
09.1 DISSOLUTION: Upon dissolution, the net assets of the SJDA shall not be converted to inure to the benefit of any private individual or corporation. The decision of how to disburse any remaining funds will be decided by calling a meeting of all active club members and voting on the appropriate issues.
09.2 REIMBURSEMENT:
a) BOARDS AND STANDS: The SJDA will provide member clubs with the
following reimbursements:
(1) $400 toward the purchase of a new diving board;
(2) $750 toward the purchase of a new low diving stand; and
(3) $1,250 toward the purchase of a new high diving stand.
b) SAFETY TRAINING COURSE: The SJDA will reimburse the standard
fee to club members' coaches who pass the Coaches' Safety Training Course.
